Terms and Conditions

These Terms and Conditions govern your use of Curio, including browsing the marketplace, creating an account, buying an item, listing an item, selling through Curio, and using related services.

1. Agreement to these terms

Curio is operated by Curio Fashion Inc., referred to in these Terms as "Curio," "we," "us," or "our." By using Curio, you agree to these Terms, our Privacy Policy, and any other policies referenced here.

If you use Curio for a business or store, you represent that you have authority to bind that business to these Terms.

2. What Curio is

Curio is a curated marketplace for independent vintage sellers. We provide discovery, listing tools, checkout, payment infrastructure, shipping tools, customer support, seller tools, and a trust layer for buyers and sellers.

Unless Curio expressly states otherwise, sellers are independent businesses and are the sellers of the items they list. Curio is not the seller of those items.

3. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use Curio.
  • You must provide accurate account, checkout, seller, and payment information.
  • You are responsible for keeping your login credentials secure and for activity under your account.
  • You may not impersonate another person, create misleading accounts, or use Curio for unlawful purposes.
  • We may suspend or terminate accounts that violate these Terms or create risk for Curio, buyers, sellers, or the public.

4. Buyer terms

When you place an order, you agree to pay the item price, shipping, taxes, and any other charges shown at checkout. You also agree to provide accurate shipping and contact information and to inspect items promptly after delivery.

  • Vintage items are one-of-one and may show age, wear, repairs, fading, or other condition characteristics disclosed in the listing.
  • Colors, measurements, eras, materials, and condition details are based on seller descriptions and photographs.
  • You may not wear, alter, damage, or use an item and then return it as unworn or not as described.
  • If an order issue arises, you agree to work through Curio support before attempting to bypass the marketplace process.

5. Seller terms

Sellers are admitted to Curio by invitation or approval. Curio may accept, decline, suspend, or remove sellers at our discretion. Sellers remain responsible for their listings, items, customer commitments, taxes, and legal compliance.

  • Listings must be accurate, complete, and not misleading.
  • Listings must describe the item, brand if known, era if known, material, size, measurements, condition, flaws, repairs, and any other material detail.
  • Photos must accurately show the item and any material flaws.
  • Sellers must own or have the right to sell every listed item.
  • Sellers must not list counterfeit, replica, stolen, dropshipped, prohibited, unsafe, or unlawfully sold items.
  • Sellers must fulfill orders on time, use tracked shipping, respond to support requests, and cooperate with returns, claims, disputes, and chargebacks.

6. Payments, fees, and payouts

Payments are processed through Stripe and related payment services. By buying or selling through Curio, you agree to comply with any applicable Stripe terms and verification requirements.

  • Curio may charge sellers a platform fee on completed sales. Unless otherwise agreed in writing, the platform fee is 13% of the item sale price.
  • Curio currently absorbs standard Stripe processing fees out of the platform fee, so those processing fees are not deducted from the seller's 87% share unless we agree otherwise in writing.
  • Taxes, shipping label costs, approved returns, refunds, disputes, chargebacks, reversals, reserve requirements, and payment processor rules may affect payout timing or amount.
  • Seller payouts may be held until the return window closes, while a claim or dispute is pending, or when required for fraud prevention, risk review, legal compliance, or payment processor rules.
  • Depending on applicable law and the transaction, Curio, a payment processor, or a seller may be responsible for calculating, collecting, remitting, or reporting taxes. Curio may collect taxes at checkout and report seller or transaction information where required. Sellers remain responsible for tax obligations not handled by Curio.
  • Curio may correct pricing, fee, payout, or calculation errors.

7. Shipping and delivery

Sellers must ship orders within the timeframe shown on Curio or, if no timeframe is shown, within 3 business days after payment unless Curio agrees otherwise in writing. Orders must use tracked shipping.

Delivery dates are estimates and depend on carriers, customs, address accuracy, weather, and other factors outside Curio's control. Risk of loss generally transfers when carrier tracking confirms delivery, subject to the Curio Guarantee and applicable law.

8. Returns, refunds, and the Curio Guarantee

Returns, refunds, not-as-described claims, damaged item claims, non-delivery claims, and authenticity claims are governed by our Refund Policy, which is incorporated into these Terms.

Curio may request photos, measurements, tracking records, packaging photos, seller records, or other documentation to decide a claim. Curio's decisions under the internal marketplace process are final for purposes of the platform, without limiting rights that cannot be waived under applicable law.

9. Seller content and Curio's content

Sellers retain ownership of listing photos, descriptions, store profiles, and other content they upload, unless otherwise agreed in writing. By uploading content, sellers grant Curio a worldwide, non-exclusive, royalty-free license to host, use, display, reproduce, distribute, modify, and promote that content for operating, marketing, and improving Curio.

Sellers represent that they have all rights needed for content they upload and that the content does not infringe any third-party rights. Curio may remove content that violates these Terms or marketplace standards.

Curio's names, logos, design, software, text, graphics, and other platform materials are owned by Curio or our licensors and may not be copied or used except as allowed by Curio.

To report suspected intellectual property infringement, email support@curio.fashion with the listing URL, a description of the work or right at issue, your contact information, and enough detail for us to review the notice.

10. Reviews and communications

Reviews, messages, claims, and support communications must be honest, relevant, and respectful. You may not submit false reviews, threaten users or staff, harass others, post private information, or use Curio's communications to move transactions off-platform.

Curio may moderate, hide, remove, or decline to publish content that violates these Terms, appears fraudulent, or creates safety, privacy, legal, or marketplace integrity concerns.

11. Prohibited conduct

You agree not to:

  • use Curio for fraud, money laundering, tax evasion, counterfeit goods, stolen goods, or illegal activity
  • circumvent Curio's fees or move a transaction off-platform after contact through Curio
  • interfere with payments, shipping, returns, claims, reviews, security, or marketplace operations
  • scrape, copy, harvest, crawl, or misuse platform data without written permission
  • reverse engineer, disrupt, overload, or attempt unauthorized access to Curio's systems
  • upload malicious code, misleading content, infringing content, or content that violates another person's rights

12. Third-party services

Curio uses third-party services such as payment processors, shipping providers, tax providers, address autocomplete providers, email providers, hosting providers, and storage providers. Those services may have their own terms and privacy practices. Curio is not responsible for third-party services that we do not control.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using Curio, you acknowledge that we process information as described there.

14. Communications and marketing consent

Curio may send service, transactional, and account messages related to your account, orders, listings, seller tools, payments, shipping, returns, refunds, security, and policy updates. These messages are part of using Curio and may be sent even if you opt out of marketing communications.

We will send commercial marketing messages, such as newsletters, new-drop alerts, seller promotions, and re-engagement emails, only with consent or where otherwise permitted by law. Marketing messages will identify Curio, include our mailing address or a link to it, and include an unsubscribe method. You may withdraw marketing consent at any time.

15. Suspension and termination

We may suspend, restrict, or terminate your access to Curio if we believe you violated these Terms, created risk, infringed rights, submitted inaccurate information, failed seller verification, caused repeated claims, or used Curio in a way that harms the marketplace.

If a seller account is suspended or closed, pending orders must still be fulfilled unless Curio directs otherwise. We may hold payouts while claims, disputes, chargebacks, investigations, or legal obligations remain unresolved.

16. Disclaimers

Curio is provided on an "as is" and "as available" basis. We do not guarantee that the website will be uninterrupted, error-free, secure, or available at all times.

Curio does not make warranties about seller items except for the express commitments in the Refund Policy and any non-waivable rights provided by law. Vintage condition, fit, color, materials, and era can involve judgment, and buyers should review listings carefully before purchase.

17. Limitation of liability

To the maximum extent permitted by law, Curio and our owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm.

To the maximum extent permitted by law, Curio's aggregate liability for any claim arising out of or relating to Curio or these Terms will not exceed the greater of CAD $200 or the amount actually paid by the buyer for the item giving rise to the claim. For seller claims not tied to a buyer payment, Curio's aggregate liability will not exceed the greater of CAD $200 or the platform fees paid to Curio by that seller in connection with the transaction giving rise to the claim.

If you use Curio as a consumer, these limits and exclusions apply only to the extent permitted by the consumer-protection laws that apply to you, including the Ontario Consumer Protection Act. They do not reduce or exclude any remedy, warranty, or right that those laws do not allow us to limit.

Nothing in these Terms limits liability or consumer rights that cannot be limited under applicable law.

18. Indemnity

To the extent permitted by law, you agree to indemnify and hold Curio harmless from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from your breach of these Terms, your listings or content, your sale or purchase of items, your misuse of Curio, or your violation of law or third-party rights.

19. Resolving disputes and governing law

Before starting a formal legal proceeding, you agree to first contact us at support@curio.fashion and give us 30 days to try to resolve the issue informally. This step does not apply where it would cause you to lose a time-sensitive right, and it does not limit rights you have under applicable law, including the right to contact a regulator or to pursue a claim that cannot be waived.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law principles. Courts located in Ontario will have exclusive jurisdiction over disputes arising from these Terms, except where applicable law gives you non-waivable rights to bring a claim elsewhere.

20. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the website, by email, or by another reasonable method. Continued use of Curio after updated Terms take effect means you accept the updated Terms.

21. General

These Terms, together with the policies incorporated by reference, are the entire agreement between you and Curio about the marketplace and replace prior or inconsistent understandings about the same subject matter.

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect. Curio's failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign or transfer your rights or obligations under these Terms without Curio's prior written consent. Curio may assign these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.

Curio will not be responsible for delay or failure to perform caused by events beyond our reasonable control, including carrier delays, payment network issues, internet outages, labour disruptions, natural disasters, emergencies, government action, or third-party service failures. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property rights, disclaimers, liability limits, indemnity, governing law, and general terms.
